'Wholesale clients' and 'sophisticated investors' are defined in the Corporations Act 2001 (Cth) and include a person who has a certificate from a qualified accountant (obtained within the last six months), stating that such person has net assets of at least $2.5 million and/or a gross income for the past two financial years of at least $250,000 a year.

The BDIF is an Australian unit trust designed for wholesale investors. The fund's goal is to achieve capital appreciation and yield by investing in blockchain networks and related technologies, employing strategies like staking and market-neutral approaches to maximize returns.
The BDIF is designed for wholesale clients only. To qualify as a wholesale client, an investor must have a certificate from a qualified accountant stating that they have net assets of at least AUD $2.5 million or a gross income of at least AUD $250,000 per year for the past two financial years.
The BDIF employs a rigorous 10-point methodology focusing on network metrics, token and project analysis, market data, macro and external factors, user engagement, partnerships, scalability, ecosystem development, market demand, and financial stability to select investments.
The fund charges a management fee of 1.5% per annum, payable monthly in arrears, and a performance fee of 7.5% on the increase in net asset value per unit, subject to a high watermark. This fee structure is designed to align the interests of the investment manager with those of the investors by rewarding successful fund performance.
